This Employment Agreement (the "Agreement") is entered into by and between [Company Name] (the "Employer" or "Company") and Andrew Stokes (the "Employee").

1. Position and Duties. Employee shall be employed in the position of Principal Software Engineer. Employee shall perform such duties as are customary for this position, including but not limited to software design, distributed systems engineering, and technical leadership.

2. Commencement Date. Employee's employment shall commence on or about [Date] (the "Start Date").

3. Compensation. As compensation for services rendered:

• Promotional Introductory Rate: For the first three (3) months of employment, Employee's base salary shall be paid at the rate of Ninety-Nine Thousand Dollars ($99,000.00) per annum, payable in semi-monthly installments of $4,125.00 (equivalent to $8,250.00 per month).
• Standard Base Rate: Beginning on the fourth (4th) month of employment, Employee's base salary shall automatically increase to the standard base rate of Three Hundred Thousand Dollars ($300,000.00) per annum, payable in semi-monthly installments of $12,500.00 (equivalent to $25,000.00 per month).

4. Employment At-Will. The employment relationship is at-will, meaning that either party may terminate the relationship at any time, with or without cause or prior notice.

5. Confidentiality. Employee agrees to maintain the confidentiality of all proprietary or confidential information of the Employer.

6. Entire Agreement. This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements.
